Supply of Service Agreement

Agreement Summary

This Service Agreement ("Agreement") is made between Riversoft Systems Limited ("Service Provider") and the Client ("Client"), collectively referred to as the "Parties." It sets forth the terms for providing specific services by the Service Provider to the Client, delineating the rights and responsibilities of each Party.

Scope of Services

The Service Provider commits to offering the following services:

Configuration Management:

Utilising industry standards to monitor, identify, and regulate software and system configurations to maintain compliance, stability, and security.

Disaster Recovery:

Formulating and sustaining comprehensive disaster recovery strategies that mitigate downtime, secure crucial data, and ensure business continuity.

Software Solutions:

Handling the acquisition, licensing, and end-to-end management of third-party software to fulfil the Client's precise operational needs.

Hosting:

Delivering secure, scalable, and reliable hosting services to enhance and support the Client's digital infrastructure.

Service Level Agreement (SLA)

Service levels, such as response times, uptime, and performance standards, will be laid out in a separate Service Level Agreement (SLA). This document will be agreed upon by both Parties and attached to this Agreement.

Agreement Term

The Agreement becomes effective on the agreed start date and remains valid until terminated by either Party per the termination provisions. After the initial period, the Agreement renews automatically unless either Party provides prior written notice.

Payment Terms

Payment terms, including fee structures and schedules, will be described in a separate financial agreement or within the SLA. Failure to meet payment deadlines may result in service suspension or termination.

Confidentiality

Both Parties commit to protecting all confidential information obtained through service interactions. This includes trade secrets, operational insights, and sensitive business data.

Intellectual Property Rights

Any intellectual property developed, used, or otherwise employed by the Service Provider throughout the agreement duration remains the property of the Service Provider unless otherwise specified in a separate contractual arrangement.

Limitations of Liability

The Service Provider's liability regarding this Agreement is limited to the fees paid by the Client as specified in the Agreement, subject to applicable laws.

Termination of Agreement

Either Party can terminate the Agreement if a significant breach is not rectified within the agreed timeframe after written notice is provided by the other Party.

Jurisdiction and Dispute Resolution

This Agreement is governed by the laws of Hong Kong. Disputes will be resolved exclusively through the courts of the Hong Kong Special Administrative Region.

Entire Agreement

This Agreement, including its terms, conditions, and privacy policies, represents the complete understanding between the Parties and overrides any prior agreements or discussions, whether oral or written.
